The UnBound X Rewards Program (the “Rewards Program”) offered by UnBound X, Inc. (“UnBound X”) operates under the terms and conditions as set out below (the “Rules”). The Rules govern UnBound X’s relationship with participants of the Rewards Program (collectively, “Participants,” and individually, a “Participant” or “you”), including how Participants manage their Rewards Program membership (“Membership”), and earn and redeem UnBound X Rewards Program points (“XPs” or individually “XP”).

PLEASE READ THESE RULES CAREFULLY AND IN THEIR ENTIRETY. BY ACCESSING OR PARTICIPATING IN THE REWARDS PROGRAM, YOU AGREE TO BE BOUND BY THESE RULES AND ALL TERMS INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO THESE RULES, DO NOT ACCESS OR PARTICIPATE IN THE REWARDS PROGRAM. THESE RULES INCLUDE A WAIVER OF YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE LAWSUIT.

You agree that we may provide updates, notices, disclosures, and amendments to these Rules, and other information relating to the Rewards Program by electronic means, including posting such information and materials online at https://www.unboundxinc.com/ (“UnBound X Website”). These Rules are subject to UnBound X’s Privacy Policy found at https://www.unboundxinc.com/privacy-policy/.

MEMBERSHIP
1. Membership. You can learn more about the Rewards Program online on the UnBound X Website. By submitting your name and email account on the UnBound X Website and creating your account, accepting these Rules, participating in the Rewards Program, or accepting and using any XPs, you agree to be bound by these Rules, which may be updated from time to time.
2. Eligibility. Participation in the Rewards Program is open to individuals who are at least eighteen (18) years of age (or the age of majority in their jurisdiction of residence, if higher) and legal residents of the United States (or for business entities, lawfully formed in the United States) and who have and maintain an UnBound X account (“Account”) in good standing. By submitting your name and email account on the UnBound X Website and creating your Account, accepting these Rules, participating in the Rewards Program, or accepting and using any XPs, you represent and warrant that you meet these eligibility requirements. The Rewards Program is void where prohibited by law. You may only enroll in the Rewards Program only once under your Account. The creation or use of multiple Accounts by the same individual or business entity, including but not limited to using multiple email addresses, identities, or devices, is strictly prohibited and may result in disqualification from the Rewards Program, forfeiture of earned XPs and Rewards, and/or Account termination. UnBound X reserves the right to verify eligibility and to suspend or terminate any Participant’s participation in the Rewards Program if it determines, in its sole discretion, that the Participant (i) does not meet the eligibility criteria, (ii) has created multiple Accounts, (iii) has otherwise violated these Rules, or (iv) is deemed otherwise ineligible within UnBound X’s discretion.
3. Audit. UnBound X may request proof of identification to verify (i) eligibility for Rewards Program Membership; (ii) Membership participation; and (iii) compliance with these Rules. Providing false information or omission of any information requested by UnBound X may be grounds for denial of enrollment and/or forfeiture of XPs in the Participant’s Account. If, as a result in a change by UnBound X in the participation requirements set forth in these Rules, a Participant no longer meets the requirements for participation, then, from the date of such change, such Participant will no longer be entitled to earn XPs or receive other Participant benefits unless and until such Participant meets the revised participation requirements.
4. Enrollment. An Account in good standing is required to enroll in the Rewards Program but no purchase is necessary to enroll. If you do not have an Account, you will need to create one on the UnBound X Website and fully and accurately provide the required information. To enroll in the Rewards Program you will have to fully and accurately submit your name and email account on the UnBound X Website and thereby create your Account on the UnBound X Website. Upon your successful creation of an Account, subject to the eligibility set forth, you: (i) become a Participant; (ii) receive access to your Account; and (iii) agree that you have read and accepted these Rules. UnBound X may refuse to permit enrollment in the Rewards Program to any applicant in its sole discretion and without written notice. Participants are only required to enroll once in the Rewards Program; no subsequent Participant registration is required.
5. Membership. Each Account is limited to one Membership in the Rewards Program. An email address is required for Membership and in order to access your Account, but XPs are ultimately earned at the Account level as opposed to the email address level. Information provided by a Participant will be maintained in a personal preference profile within their Account. You are solely responsible for maintaining accurate and updated Account information at the UnBound X Website. UnBound X is not responsible for XPs not available for use as a result of Participant’s failure to provide accurate Participant information. By opening and maintaining an Account and by enrolling in and using the Rewards Program to receive and redeem benefits, including, without limitation, XPs, you agree that:
  1. You have read and accept (1) these Rules, (2) the UnBound X Website Terms of Use, accessible at https://www.unboundxinc.com/terms-of-use/, which are incorporated herein by reference; and (3) the UnBound X Monthly Sweepstakes Official Rules accessible at https://www.unboundxinc.com/monthly-sweepstakes-rules/, which are incorporated herein by reference;
  2. You consent to the collection, use and disclosure of your personal data by UnBound X and authorized third-party agents and licensees, in accordance with the UnBound X Privacy Policy, accessible at https://ww.unboundxinc.com/privacy-policy/, which is incorporated herein by reference;
  3. You are solely responsible for reading the Rules, the UnBound X Website or other communications in order to understand your rights, responsibilities, and the structure for earning XPs ; and
  4. You have not been previously suspended or removed from the Rewards Program or engaged in any activity that could result in suspension or removal from the Rewards Program.
REWARDS PROGRAM
1. Participant Dashboard. Through your Account, you will have access to your Membership dashboard, which provides useful information about your Membership and XPs. Participants can access their dashboard to view current XP balance, i.e., the number of current XPs the Participant has available for use. UnBound X’s customer service team will also be able to access and view each Account’s dashboard and XP information and is available to assist you in the administration of your Account. The customer service team is available to assist Participants with issues related to the Rewards Program and XPs, and can be reached at support@unboundxinc.com.
2. Correction of Errors. If a Participant believes that the current XP balance in his Dashboard is not correct, they should contact UnBound X by emailing support@unboundxinc.com.
3. Customer Service. Written requests regarding XPs should include the Participant’s name, email address and daytime phone number. Additional information may be necessary to process requests. Failure to supply the requested documentation may result in denial of the request.
4. Loss of Benefits. If a Participant requests termination or deletion of the Participant’s Account, the Participant will lose the accrued XPs associated with the Account.
5. Legal Compliance. UnBound X intends that the Rewards Program complies at all times with all applicable federal and state laws. NOTWITHSTANDING THE FOREGOING, LEGAL COMPLIANCE IS PARTICIPANT’S SOLE RESPONSIBILITY AND PARTICIPANT SHALL NOT PARTICIPATE IN THE REWARDS PROGRAM UNLESS AND UNTIL IT MAKES A DETERMINATION THAT ITS PARTICIPATION WILL COMPLY WITH ALL APPLICABLE FEDERAL AND STATE LAWS, INCLUDING ANTI-KICKBACK STATUTES.
XPs
1. Earning XPs. Participants may earn XPs through various activities, challenges, or programs offered by UnBound X from time to time on the UnBound X Website or other designated channels. The following is an example of one XP-earning structure; specific XP amounts, qualifying actions, and conditions may vary by program:

Unless otherwise stated for a specific program, XPs are automatically added to a Participant’s account within two (2) business days after completion of the qualifying action. You will only earn XPs for actions performed while logged into your Account on the UnBound X Website, unless a specific program provides otherwise. No XPs will be awarded for indirect engagement with UnBound X, such as through third-party social media sites or email contact, unless explicitly included in a program’s rules.

You will only earn XPs for the actions described above performed through your Account on the UnBound X Website. You will not receive XPs for any actions taking place when not logged into your Account on the UnBound X Website or for any indirect engagement with UnBound X such as through third party social media sites or email contact.
No Cash Value. XPS HAVE NO CASH VALUE (OR EQUIVALENT) AND MAY NOT BE REDEEMED, TRANSFERRED OR SOLD FOR CASH, CREDIT, OR OTHER VALUE. NO CASH, CREDIT, OR OTHER VALUE WILL BE GIVEN FOR UNUSED XPS.
Use of XPs. The total number of XPs a Participant can use is the number of available then-current XPs in their Account. XPs available and current in a Participant’s Account may be redeemed for various Rewards (as defined below) such as beta access to the UnBound X Website as well as for access to other services or products offered by UnBound X from time to time. Upon completion of any redemption activity, the XPs will be deducted from the Participant’s Account except as noted below. The deduction of XPs is final and, except as expressly set forth herein, XPs will not be returned.
Rewards.
1. By way of example, in one program the top 250 XP earners in each calendar month receive automatic beta access to the UnBound X Website. In that program, access to the beta does not reduce a Participant’s XP balance, and XPs for all Participants carry forward regardless of beta access. In addition, Participants earning XPs in that program are automatically entered into the UnBound X Sweepstakes, subject to the Official Rules of that Sweepstakes.
2. Other programs or challenges may have different methods of earning XPs, different Rewards, and different eligibility or redemption requirements, which will be set forth in the applicable program’s official rules or terms.
3. XPs may be redeemed for additional preferred access to products and services of UnBound X as will be set forth, from time to time, on the UnBound X Website.
Transferability. Unless otherwise stated in a specific program’s rules, XPs are non-transferable.
Expiration. Unless otherwise stated in a specific program’s rules, XPs shall expire upon twelve (12) months of Account inactivity. An Account is considered inactive and all accrued XPs shall expire if the Account is not used to log into the UnBound X Website in a twelve (12) month period.
Taxes. You are solely responsible for all federal, state and local taxes, where applicable, which apply to your Membership in the Rewards Program and any XPs or other benefits you receive through participation in the Rewards Program.

CHANGES AND MODIFICATIONS
1. Right to Modify. UnBound X may modify the Rewards Program and the Rules at any time, in its sole discretion, and without notice, including, but not limited to: (i) changing the Rewards Program’s benefits; (ii) changing the Rewards Program’s structure; (iii) removing or changing XPs, including the rate at which XPs are earned, (iv) changing the redemption value of XPs ; (v) changing the UnBound X Monthly Sweepstakes Official Rules; (vi) revising the procedures and rules for earning or redeeming XPs; (vii) changing when XPs expire; (viii) associating, combining, integrating, linking, or merging the Rewards Program with other programs; and (ix) changing the actions that qualify for XPs. UnBound X may make these changes even if these changes affect your ability to use XPs already accumulated. You are responsible for remaining knowledgeable about these Rules. Your continued participation in the Rewards Program constitutes your acceptance of any changes to these Rules.
2. Modifications. Any change or modification to this Rewards Program will be effective immediately and may be posted to the UnBound X Website, so please check back from time to time. You waive any rights you may have to receive specific notice of such changes or modifications, and your continued access to or participation in the Rewards Program confirms your acceptance of the changes or modifications. If you do not agree to these Rules or any future change or modifications thereto, you must immediately cease accessing and participating in the Rewards Program.
DISCLAIMERS; LIMITATION OF LIABLIITY
1. Disclaimer. UNBOUND X MAKES NO REPRESENTATIONS ABOUT THE REWARDS PROGRAM, AND DISCLAIMS ALL LIABILITY ASSOCIATED WITH THE REWARDS PROGRAM OR ANY INABILITY TO RECEIVE XPS OR OTHER BENEFITS UNDER THE REWARDS PROGRAM..
2. Damages. IN NO EVENT AND UNDER NO LEGAL OR EQUITABLE THEORY, WHETHER IN TORT, CONTRACT, STRICT LIABILITY OR OTHERWISE, SHALL UNBOUND X OR ITS EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF ANY USE OF OR PARTICIPATION IN THE REWARDS PROGRAM, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, LOSS OF GOODWILL, LOSS OF DATA, OR COMPUTER FAILURE OR MALFUNCTION (COLLECTIVELY, “DAMAGES”) THAT RESULT FROM THE USE OF OR INABILITY TO USE THE REWARDS PROGRAM EVEN IF UNBOUND X HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, NOR SHALL UNBOUND X BE RESPONSIBLE FOR ANY DAMAGES WHATSOEVER THAT RESULT FROM MISTAKES, OMISSIONS, INTERRUPTIONS, DELETION OF FILES, ERRORS, DEFECTS, DELAYS IN OPERATION OR TRANSMISSION, OR ANY FAILURE OF PERFORMANCE WHETHER OR NOT CAUSED BY EVENTS BEYOND UNBOUND X’S REASONABLE CONTROL, INCLUDING BUT NOT LIMITED TO ACTS OF GOD, THEFT, DESTRUCTION, OR UNAUTHORIZED ACCESS TO UNBOUND X’S RECORDS, PROGRAMS, OR SERVICES.
3. Limitation of Liability. UNBOUND X’S AGGREGATE LIABILITY AND YOUR MAXIMUM RECOVERY WITH RESPECT TO ANY CLAIMS REGARDING OR RELATED TO THE REWARDS PROGRAM UNDER ANY THEORY OF LIABILITY SHALL NOT EXCEED THE AMOUNT OF TEN DOLLARS ($10). YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY OF THE ABOVE CLAIMS OR ANY DISPUTE WITH UNBOUND X IS TO DISCONTINUE YOUR USE OF THE UNBOUND X WEBSITE AND THE REWARDS PROGRAM. YOU AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE REWARDS PROGRAM OR THE UNBOUND X WEBSITE THAT YOU WISH TO BRING AGAINST UNBOUND X MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES OR THE CAUSE OF ACTION IS PERMANENTLY BARRED.
GENREAL TERMS
1. Interpretation. The interpretation and application of these Rules is at the sole discretion and determination of UnBound X, which in each case is final and conclusive.
2. No Assignment. The rights and benefits granted under this Rewards Program, including a Participant’s accrued XPs, are not assignable, saleable or redeemable for cash, other than as explicitly stated in these Rules or otherwise expressed in writing by UnBound X.
3. Correction of Errors. UnBound X reserves the right to correct inaccuracies and errors in the Rewards Program or these Rules at any time, even if it affects pending XPs or other benefits. UnBound X shall not be liable for any losses of XPs derived from these corrections.
4. Consistency and Severability. In the event of any inconsistency or discrepancy between Rules or other statements contained in any related materials or advertising, the terms of the then-current Rules shall prevail, govern, and control. If any provision of these Rules is deemed invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability will not affect any other term or provision of these Rules.
5. Entire Agreement. These Rules constitute the entire agreement between you and UnBound X regarding the Rewards Program and supersede all other written or oral agreements or understandings regarding the subject matter hereof.
6. Choice of Law. The Rewards Program and these Rules are governed by and construed in accordance with the internal laws of the State of Delaware without regard to its conflicts of laws provisions. YOU AGREE THAT, TO THE EXTENT PERMITTED BY APPLICABLE LAW, ANY AND ALL DISPUTES, CLAIMS, AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE SITE AND/OR THESE RULES, WILL BE RESOLVED INDIVIDUALLY ON YOUR OWN BEHALF, WITHOUT RESORT TO ANY FORM OF CLASS ACTION, PURPORTED CLASS OR REPRESENTATIVE PROCEEDING OR MASS ACTION. YOU FURTHER AGREE TO WAIVE ANY RIGHT TO A JURY TRIAL. DO NOT PARTICIPATE IN THE REWARDS PROGRAM IF YOU DO NOT AGREE TO THE FOREGOING PROVISIONS.
7. ARBITRATION AGREEMENT. ALL DISPUTES BETWEEN YOU AND UNBOUND X SHALL BE DECIDED EXCLUSIVELY BY ARBITRATION. YOU AND UNBOUND X AGREE TO PRIVATE ARBITRATION IN A FINAL AND BINDING MANNER, OF ALL DISPUTES, CLAIMS, OR CONTROVERSIES BETWEEN YOU AND UNBOUND X (INCLUDING ANY OF UNBOUND X’S CURRENT OR FORMER OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS) ARISING OUT OF OR RELATING IN ANY WAY TO THE REWARDS PROGRAM, THESE RULES, YOUR USE, OR INABILITY TO USE, THE UNBOUND X WEBSITE OR XPS, ANY CONTENT ON THE UNBOUND X WEBSITE OR OTHERWISE, INCLUDING WITHOUT LIMITATION, ANY INVESTMENTS OR OTHER PRODUCTS FEATURED ON THE UNBOUND X WEBSITE, ANY INVESTMENT DECISIONS AND INVESTMENTS THAT YOU MAKE AS A RESULT OF YOUR USE OF THE UNBOUND X WEBSITE AND SERVICES; ANY INTERACTION, OR SERVICES PROVIDED BY UNBOUND X AT ANY TIME OR OTHERWISE. THE ARBITRATOR SHALL NOT HAVE ANY JURISDICTION TO HEAR ANY CLAIMS FOR CLASS ACTION REMEDIES OR OTHER ACTIONS WHERE YOU SEEK A RECOVERY FOR THE BENEFIT OF OTHERS. YOU IRREVOCABLY WAIVE THE RIGHT TO BRING SUCH REPRESENTATIVE CLAIMS AS FURTHER OUTLINED ABOVE. THIS ARBITRATION SHALL BE GOVERNED BY AND UNDER THE COMMERCIAL ARBITRATION RULES OF JUDICIAL AND MEDIATION SERVICES (“JAMS”). THE COST OF THE ARBITRATION SHALL INITIALLY BE SHARED BY THE PARTIES; HOWEVER, THE ARBITRATOR SHALL HAVE THE AUTHORITY TO ASSESS ARBITRATION COSTS IN FAVOR OF THE PREVAILING PARTY. SHOULD THE LAW PROHIBIT THIS, THEN YOUR OBLIGATIONS TO SHARE IN THE ARBITRATION COSTS SHALL BE MODIFIED SO AS TO COMPLY WITH LAW. THIS AGREEMENT TO ARBITRATE SHALL BE SUBJECT TO THE LAWS AND PROCEDURES FOR THE STATE OF DELAWARE AND/OR THE FEDERAL ARBITRATION ACT AND THE LAW TO BE APPLIED IN THE ARBITRATION SHALL EXCLUSIVELY BE THE LAWS OF THE STATE OF DELAWARE. ANY ARBITRATION AWARD MAY SUBSEQUENTLY BE CONFIRMED IN A COURT WITHIN THE STATE OF DELAWARE.
8. No Waiver. The failure of UnBound X to require Participants’ strict performance of any term of these Rules shall not be a waiver of the right of UnBound X to require strict performance of any term or condition herein.
9. Force Majeure. UnBound X shall not be liable for any delay, interruption, or failure of the Rewards Program, or any loss, liability or damage directly or indirectly caused by circumstances beyond the control of UnBound X, including, but not limited to, acts of God, flood, explosion, computer or network malfunction, or similar circumstances.
