We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Website thereafter. However, any changes to the dispute resolution provisions set out below will not apply to any disputes for which the parties have actual notice on or before the date the change is posted on the Website. Your continued use of the Website following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.

Registration and Communications

To access and use the services provided on the Website (“Services”), you will need to register for an account (“Account”) on the Website and may be required to pay for a subscription (“Subscription”). By creating an Account, you agree to (a) provide complete, accurate and current personal and background information as requested, (b) maintain and promptly update, as necessary, your personal and background information, and (c) be responsible for the acts or omissions of any third party who has authority to access or use the Website using your Account credentials.

By creating an Account, you also consent to receive electronic communications from UnBound X, including through email, text messaging, or by posting notices to the Website. These communications may include notices about your Account and other transactional information. You agree that any notices, agreements, disclosures or other communications that we send to you electronically will satisfy any legal communication requirements, including, but not limited to, that such communications be in writing. You should maintain copies of all electronic communications you receive from us.

We may also send you promotional communications by email or text messaging that we think will be of interest to you. You may opt out of receiving these promotional emails at any time by following the unsubscribe instructions provided in such email or text messaging. You may opt out of marketing and promotional calls or messages by following the applicable unsubscribe instructions provided to you. Following such opt out, you may continue to receive messages for a short period of time while UnBound X processes your request. It is your responsibility to keep your Account information updated.

Subscriptions

Subscriptions to our Services may require you to make payment of the corresponding fees. Payments of subscription fees you make are final and non-refundable, unless otherwise determined by UnBound X. You authorize UnBound X to submit through its payment processor the charges for the Subscription you select using the payment method you specify at the time of purchase. UnBound X may seek pre-authorization of your credit card account prior to your purchase to verify that the credit card is valid and has credit available for your intended purchase. Your Subscription to the Services will automatically be renewed, and your chosen payment method will be charged at the end of each service period, unless you decide to cancel your automatic payments for the Services before the end of the then-current subscription period.

All prices, including recurring subscription fees, are subject to change. UnBound X reserves the right to establish, remove, and/or revise prices, fees, taxes, and/or surcharges for any or all Services obtained through the use of the Website at any time.

If you are a California resident, in accordance with Cal. Civ. Code §1789.3, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting them in writing at 1625 North Market Blvd., Suite N 112 Sacramento, CA 95834, or by telephone at (800) 952-5210 or (916) 445-1254.

Rewards

You may be eligible to earn points through your use and engagement with the Website (“Points”). Once Points are made available by UnBound X, you will only receive Points for engagement and use of the Website in accordance with the UnBound X Rewards Program Terms which shall be located at https://unboundxinc.com/legal/ and fully incorporated herein.

YOU WILL NOT RECEIVE POINTS FOR ANY TRANSACTIONS OR PURCHASES MADE FROM ANY THIRD PARTIES, INCLUDING, BUT NOT LIMITED TO, ISSUERS.

Eligibility for and earning and use of Points is subject to the UnBound X Rewards Program Terms which when Points are available shall be located at https://unboundxinc.com/legal/. UnBound X may modify, suspend, or terminate your ability to earn Points at any time with or without reason, with or without notice, effective immediately.

POINTS HAVE NO CASH VALUE (OR EQUIVALENT) AND MAY NOT BE REDEEMED, TRANSFERRED OR SOLD FOR CASH, CREDIT, MEDICAL REIMBURSEMENTS, OR OTHER VALUE. NO CASH, CREDIT, OR OTHER VALUE WILL BE GIVEN FOR UNUSED POINTS.

License

Subject to all of the terms and conditions herein, UnBound X hereby grants you a limited, non-transferable, revocable, terminable, non-exclusive license, without the right to sublicense, to access and use the Website and use the Services solely for your personal purposes. The term of your license shall end upon your or UnBound X’s termination of the agreement represented by these Terms of Use. The Website and Services will not be available for use by you once these Terms of Use are terminated.

Accessing the Website and Account Security

We reserve the right to withdraw or amend this Website, and any Services or other materials we provide on the Website, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. From time to time, we may restrict user access, including registered user access, to some parts of the Website or the entire Website.

You are responsible for both (a) making all arrangements necessary for you to have access to the Website; and (b) ensuring that all persons who access the Website through your Account credentials are aware of these Terms of Use and comply with them.

You agree that all personally identifiable information you provide to register your Account or otherwise in using the Website (collectively “User Information”), is governed by our Privacy Policy, and you consent to all actions we take with respect to your User Information consistent with our Privacy Policy.

If you choose, or are provided with, a username, password, or any other Account credentials as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your Account is personal to you and agree not to provide any other person with access to this Website or portions of it using any of your Account credentials. You agree to notify us immediately of any unauthorized access to or use of your Account credentials or any other breach of security.

We have the right to disable your Account credentials at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Use.

The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by UnBound X, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms of Use permit you to use the Website for your personal use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website, except as follows:

(a) Your computer may temporarily store copies of such materials in computer memory incidental to your accessing and viewing those materials;

(b) You may store files that are automatically cached by your web browser for display enhancement purposes;

(c) You may print or download one copy of a reasonable number of pages of the Website for your own personal use and not for further reproduction, publication, or distribution;

(d) You may download a single copy to your computer or mobile application solely for your own personal use, provided you agree to be bound by our end user license agreement for such application.

You must not modify copies of any materials from the Website or delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from this site.

You must not access or use for any commercial purposes any part of the Website or any Services or materials available through the Website. If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Website in breach of the Terms of Use, your right to use the Website will stop immediately and you must, at our option, return or destroy any copies of the materials you have made.

No right, title, or interest in or to the Website or any content on the Website is transferred to you, and all rights not expressly granted are reserved by UnBound X. Any use of the Website not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark, and other laws.

Trademarks

The UnBound X name, the UnBound X logo, and all related names, logos, product and service names, designs, and slogans are trademarks of UnBound X or its affiliates or licensors. You must not use such marks without the prior written permission of UnBound X.

All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners. Our use of third-party trademarks, trade names, product names and logos or images, including, but not limited to, any of the foregoing of Issuers featured on the Website or accessed through the Services does not constitute: (a) an endorsement by such third party of UnBound X; or (b) an endorsement of the third party or its products, services or, in the case of Issuers, of its securities, by UnBound X.

Prohibited Uses

You may use the Website and Services only for your personal lawful purposes and in accordance with these Terms of Use. You agree not to use the Website or Services or any related material or content:

(a) In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding securities and investments) or for any fraudulent or unauthorized purposes;

(b) For the purpose of exploiting, harming, or attempting to exploit or harm any other person in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise;

(c) To send, knowingly receive, upload, download, use, or re-use any material that does not comply with these Terms of Use;

(f) To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Website or Services, or which, as determined by us, may harm UnBound X or users of the Website, or expose them to liability.

Additionally, you agree not to:

(a) Use the Website in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use of the Website or Services, including their ability to engage in real time activities through the Website;

(b) Use any robot, spider, or other automatic device, process, or means to access the Website for any purpose, including monitoring or copying any of the material on the Website;

(c) Use any manual process to monitor or copy any of the material on the Website, or for any other purpose not expressly authorized in these Terms of Use, without our prior written consent;

(d) Use any device, software, or routine that interferes with the proper working of the Website;

(e) Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful;

User Contributions

All User Contributions must comply with these Terms of Use. Any User Contribution you post to the Website will be considered non-confidential and non-proprietary. We do not claim any ownership interest in User Contributions. However, by providing any User Contribution on the Website, you grant us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns the fully paid-up, royalty-free, unrestricted, perpetual, irrevocable, worldwide right and license to use, reproduce, modify, anonymize, de-identify, adapt, publish, translate, create derivative works from, distribute, perform and publicly display your User Contributions, in whole or in part, in any manner or media, for any purpose whatsoever at our sole discretion, including, without limitation, to operate, publish and distribute the Website and provide and improve the Services.

However, UnBound X will only share User Information that you provide in accordance with our Privacy Policy.

You represent and warrant that:

(a) You own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns;

(b) All of your User Contributions do and will comply with these Terms of Use.

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not UnBound X, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness. We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other user of the Website or otherwise available on the Services.

IF YOU CHOOSE TO SUBMIT TO US, OR OTHERWISE MAKE ANY USER CONTRIBUTION PUBLICLY AVAILABLE, YOU DO SO AT YOUR OWN RISK AND WE SHALL HAVE NO LIABILITY THEREFOR.

Enforcement; No Monitoring

We have the right to:

(a) Remove or refuse to post any User Contributions for any or no reason in our sole discretion;

(b) Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms of Use, infringes any intellectual property right or other right of any person or entity, threatens the safety of users of the Website or the public, or could create liability for UnBound X or any users of the Website or the public;

(c) Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy; and

(d) Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Website.

Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Website.

YOU WAIVE AND HOLD HARMLESS UNBOUND X AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY UNBOUND X AND/OR ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER UNBOUND X OR SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

However, we cannot and do not undertake to review any material before it is posted on the Website and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

Termination

We may terminate the agreement represented by these Terms of Use or suspend your access to all or part of the Website or Services for any or no reason, including without limitation, any violation of these Terms of Use, with or without notice, effective immediately, which may result in the forfeiture and destruction of information associated with your Account.

Content Standards

These content standards apply to any and all User Contributions and use of Services. User Contributions must in their entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Contributions must not:

(a) Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable;

(b) Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age;

(c) Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person;

(d) Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms of Use and our Privacy Policy;

(e) Be fraudulent or otherwise be likely to deceive any person;

(f) Promote any illegal activity, or advocate, promote, or assist any unlawful act;

(g) Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person;

(h) Impersonate any person or misrepresent your identity or affiliation with any person or organization;

(i) Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising except for content provided by Issuers; or

(j) Give the impression that they emanate from or are endorsed by us or any other person or entity.

It is the policy of UnBound X to terminate the user accounts of repeat infringers.

The limitation of liability set out above does not apply to liability resulting from our gross negligence or willful misconduct or death or bodily injury caused by products you purchase through the site.
